There are special legal and tax issues as to whether a person is an independent contractor or employee.  Simply put, however, the business engaging an independent contractor has the right to control or direct only the result of the work completed by the independent contractor, but not the means and methods of accomplishing a particular result.

Independent contractors are utilized for many projects and types of work, from development and maintenance of a website, for marketing, outside sales or even secretarial tasks.  A carefully-crafted agreement will spell out the relationship between the business enterprise and the independent contractor, define parties’ project objectives and expectations, outline the terms of payment and each party’s potential liability with regard to the project, and more.   In the unfortunate event of a dispute, a well drafted independent contractor agreement can often help a court, mediator or arbitrator bring resolution to claims in favor of one party or another.

A written agreement will also aid in establishing a definitive independent contractor relationship, which is of major significance in the event the Internal Revenue Service or other government agency attempts to bring into question the line between independent contractor and employee.
