INDEPENDENT CONTRACTORS AND CONSULTANTS.
As a
business matures it often needs additional manpower to reach
revenue goals and the next stage of successful development, but
it may not yet be ready to take on the
financial
burden of full or even part-time employees. In such a
circumstance, the use of independent consultants (also known as
independent contractors) can be invaluable to the enterprise.
Independent contractors and consultants often fill critical
roles in start-up and growth-oriented ventures.
Hiring
employees is a big step in the evolution of a start-up
business. Payroll, insurance, vacation time, and
benefits can all add up to create unwieldy and often
overwhelming financial burdens for entrepreneurs.
Properly utilizing independent
contractors
can help a business accomplish its objectives without
committing to the obligations associated with hiring
employees too early in the life of a start-up business.
Most
individuals or businesses
that
qualify as independent contractors are essentially their
“own business,” engaging in their own trade or profession.
In some professions, this is known as “freelancing” or
“contract work.”
There are
special legal and tax issues as to whether a person is an
independent contractor or employee. Simply put, however,
the business engaging an independent contractor has the
right to control or direct only the result
of the work completed by the independent contractor,
but not the means and methods of accomplishing a
particular result.
Independent contractors are utilized for many projects and
types of work, from development and maintenance of a
website, for marketing, outside sales or even secretarial
tasks. A carefully-crafted agreement will spell out the
relationship between the business enterprise and the
independent contractor, define parties’ project objectives
and expectations, outline the terms of payment and each
party’s potential liability with regard to the project, and
more. In the unfortunate event of a dispute, a well
drafted independent contractor agreement can often help a
court, mediator or arbitrator bring resolution to claims in
favor of one party or another.
A written
agreement will also aid in establishing a definitive
independent contractor relationship, which is of major
significance in the event the Internal Revenue Service or
other government agency attempts to bring into question the
line between independent contractor and employee.
ENDEAVORLEGAL
attorneys possess the tools to help both
businesses and consultants successfully enter into
independent contractor relationships. We take the time to
craft not only the legal sections of the agreement, but to
ensure that the scope, duration and payment terms of the
work to be performed are clear, concise and not open to
interpretation.
